Organizer terms and conditions - Oameni
Version of October 2026. These terms are the agreement between you, as an organizer, and RedShift IT S.R.L., tax ID 26963888, registered at 14 Strada Piscului, email [email protected]. They apply on top of the platform's general terms and, for ticket sales, set out the rules required by Regulation (EU) 2019/1150. You accept them when you create your community, or, if it already exists, from your community account before you start selling.
1. Definitions
1.1 The Platform is the app and website operated by RedShift IT S.R.L. (the “Operator”, “we”, “us”).
1.2 The Organizer (“you”) is the community, association, company or authorized sole trader that creates events and sells tickets through the Platform.
1.3 The Buyer is the person who purchases a ticket.
1.4 The Event is the show, workshop, meetup or any other activity you sell tickets for.
1.5 Your Stripe account is the payment account opened in your name with Stripe, where you receive the Buyers' money.
1.6 The Commission is the percentage of the ticket price you owe the Operator under the commission plan.
1.7 The Service fee is the amount a Buyer sees as a separate “Service fee” line when you've chosen for the Buyer to cover it.
1.8 Settlement is the transfer of collected funds from your Stripe account to your bank account.
1.9 The Balance is the difference between what is owed to you and what you owe the Operator or the Buyers.
1.10 “Ticket document” is the choice you make in your community settings: which document the Buyer receives for a ticket (fiscal ticket or invoice).
2. Mandate and its limits
2.1 You authorize us to act in your name and on your behalf to display the Event, sell and issue tickets, collect the price through Stripe and communicate with Buyers.
2.2 We are not the seller of the tickets. The ticket sale contract is between you and the Buyer, and you are responsible for the Event, the ticket and everything involved in running the Event.
2.3 We never hold your money. The Buyer's payment goes straight to your Stripe account. From it we collect only the Commission and, where it applies, the Service fee.
2.4 The mandate does not let us change the Event, ticket prices or your conditions without your agreement, and it doesn't bind you to anything beyond what is written here.
2.5 You can withdraw the mandate by stopping sales or closing your account, while still meeting the obligations that already exist (tickets sold, refunds, balances).
3. Organizer's obligations
3.1 You run the Event exactly as announced: date, venue, schedule, performers or guests, and access conditions. If anything changes, you tell Buyers and update the Event page right away.
3.2 You follow the law on the tickets you sell. Depending on your “Ticket document” choice, you're responsible for issuing the fiscal ticket or invoice to the Buyer, for your accounting records and for VAT where you are a VAT payer.
3.3 You are responsible for declaring and paying the local show tax owed to the local budget, if the Event triggers it.
3.4 You hold all the permissions and rights you need: the venue's consent, operating and safety authorizations, copyright and related rights, and any public-event approvals.
3.5 The details you give are accurate, complete and up to date: identification data, tax ID, trade register number, address, email and payment details. You tell us when they change.
3.6 You sign the self-certification in your account, confirming that you are the organizer, that your data is real and that you have the rights listed in 3.4.
3.7 You don't use the Platform for illegal or misleading events, or any that the general terms prohibit.
4. Commission, service fee and commission vouchers
4.1 The Commission is the one in your plan, shown in your community account before you switch on sales. It applies to payments made after the plan takes effect. Each payment keeps the terms it had when it was collected.
4.2 For each event you choose who covers the cost: you, in which case the ticket price stays the same and the Commission is deducted from your earnings, or the Buyer, in which case a separate “Service fee” line is added at checkout and you receive the full ticket price.
4.3 The Service fee is shown to the Buyer before payment, as a clear amount, separate from the ticket price.
4.4 The Commission and the Service fee are taken automatically from each payment through Stripe. Prices on the Platform are the ones you set.
4.5 We may grant commission vouchers or discounts for certain periods or communities. They apply only while you're on the commission plan and end when you leave it.
4.6 If we change the percentage, the new one applies only to future payments, with the notice set out in section 15.
5. Payments through Stripe
5.1 Payments are processed by Stripe, the payment service provider. To collect payments you need a verified Stripe account and you accept Stripe's terms.
5.2 Stripe is responsible for processing the payment and for verifying you. We aren't a party to your agreement with Stripe and we aren't responsible for its decisions.
5.3 Stripe's processing costs and any dispute costs (bank chargebacks) are those shown in your Stripe account. Dispute fees are covered from your Balance.
5.4 Paid ticket sales can start only once your Stripe account is active. Free events don't depend on this step.
6. Settlement rules
6.1 The default rule is settlement 7 days after the date of the Event. Until then the money stays in your Stripe account.
6.2 We may set a different rule for each organizer, based on assessed risk, your history and the type of Event. The rule that applies to you is shown in your community account.
6.3 If you move or postpone the Event, the settlement date moves with it for payments not yet transferred.
6.4 Settlement goes to the bank account linked to your Stripe account. Bank or Stripe timelines may add a few working days.
6.5 Memberships settle 7 days after each payment is charged, not after the date of an Event. The default rule in section 6.1 applies to tickets.
6.6 If a Buyer or a member disputes a payment with their bank, the amount stays held while the dispute is open. If you win it, the payment goes back into settlement. If you lose it, the amount is no longer settled.
7. Hold, freeze and early release
7.1 We may hold settlement of an amount or of all amounts when we have good reason: Buyer complaints, signs of fraud, a risk that the Event won't take place, a negative Balance, or a request from an authority.
7.2 A freeze stops all settlement until things are clarified. We apply one on suspension (section 11) or when the law requires it.
7.3 We may release the money earlier than your default rule, at your request or on our own initiative, if the risk is covered. Early release is at our discretion.
7.4 The money stays in your Stripe account throughout. We only control when it leaves for your bank account, and we tell you why when we hold or freeze it.
8. Stripe's 90-day limit
8.1 Stripe doesn't allow an amount to stay untransferred for more than 90 days after it's collected.
8.2 So we automatically release any amount no later than 85 days after the charge, even if the Event hasn't taken place yet, so that it doesn't slip out of control.
8.3 After such a release, you remain responsible for refunds if the Event is cancelled or postponed. The money can be recovered under section 10.
9. Refunds, cancellation and postponement
9.1 If you cancel the Event, Buyers are refunded in full, including the Service fee.
9.2 We keep the Commission and the Service fee collected on that payment. They, along with the refunded amount, are deducted from your Balance.
9.3 If you postpone the Event, you decide, per event, whether Buyers can ask for a refund. If you allow it, the refund is in full, with the same effect on the Commission and the Service fee as for a cancellation. If you don't allow it, tickets stay valid for the new date.
9.4 For a partial refund, the refunded amount, the share of the Service fee and the effect on the Balance are calculated pro rata to the tickets refunded.
9.5 The Commission and the Service fee stay with us even when the refund was requested by the Buyer and accepted by you.
9.6 Refunds to Buyers go back to the payment method that was used.
10. Negative balances and recovery
10.1 Your Balance goes negative when the amounts refunded, disputed or owed (including the related Commission and Service fee) exceed the amounts available.
10.2 We recover a negative Balance by set-off against your upcoming payments, including from your other events.
10.3 If upcoming payments don't cover it, we invoice you for the difference, and you pay within the term stated on the invoice.
10.4 If you don't pay, we may freeze settlements and claim the amount by legal means.
11. Verification and suspension
11.1 We verify who you are before switching on sales: through Stripe (identity and business checks), through ANAF (tax ID status and data) and through your signed declaration.
11.2 We may suspend the account or sales if the data is false, if you no longer meet the conditions, or if there are repeated complaints, signs of fraud, breaches of these terms or a legal request.
11.3 Suspension freezes settlements. Tickets already sold stay valid, and refunds to Buyers follow section 9.
11.4 We give you the reason for the suspension in writing together with the decision, and you can respond or appeal through the process in section 14.
12. Termination
12.1 You can close your account at any time, once you've met your obligations for the tickets sold.
12.2 We may terminate the agreement with at least 30 days' written notice, stating the reasons. Notice doesn't apply in cases of serious breach, fraud or where the law requires immediate termination.
12.3 On termination, settlements, refunds and Balances are closed out under these terms.
13. Data retention and data protection
13.1 We keep your identification and verification data for as long as we work together and for 6 months after it ends, as required by Regulation (EU) 2022/2065 (art. 30). After that we delete it, except for anything the law requires us to keep longer (such as accounting records).
13.2 For the attendee data you receive (name, email, tickets, check-in), you are the data controller. You use it only to run the Event and to meet your legal obligations, and you need the person's consent for marketing.
13.3 We process that data on your behalf, as a processor, to provide the service. For data we use for our own purposes (the account, security, fraud prevention, invoicing the Service fee, legal obligations) we're an independent controller. Where we decide purposes and means together, we're joint controllers, and the arrangement between us is available on request.
13.4 You'll find the rights of data subjects explained in the Privacy Policy.
14. Complaints and mediation
14.1 You can file a complaint at [email protected] about any decision of ours that affects your account or sales, including a suspension, hold or termination.
14.2 We reply within 5 working days, with a clear explanation and, if needed, the next steps.
14.3 If we can't agree, you can turn to mediation. On request we give you the list of mediators we work with, as required by Regulation (EU) 2019/1150. You can also go to the competent courts at any time.
15. Changes to these terms
15.1 We may change these terms. We'll let you know in writing at least 15 days before the change takes effect, and the new version will appear for acceptance in your community account.
15.2 Until the new version is accepted, new sales may be paused after its effective date. Tickets already sold and obligations already incurred stay as they were.
15.3 You can end the agreement before the effective date at no cost.
16. Final provisions
16.1 These terms are governed by Romanian law. The competent courts are those at the Operator's registered office, unless the law says otherwise.
16.2 If a clause turns out to be invalid, the rest stays in force.
16.3 You can write to us any time at [email protected] or at 14 Strada Piscului.
